You must provide accurate, current, and complete information when creating your AdFlow account. You agree to maintain and update your account information to keep it accurate, current, and complete.

We are not liable for any loss or damage arising from your failure to maintain account security.
Each subscriber may maintain one AdFlow account per ad account. Creating multiple accounts to circumvent subscription limitations or fees is prohibited and may result in termination of all associated accounts.
AdFlow provides the following features to subscribers:
Features may vary by subscription plan. We reserve the right to add, modify, or remove features with reasonable notice as described in Section 16.
AdFlow is offered on a subscription basis. Current pricing and plan details are available at ads-manager.agentgrowthhub.ai/pricing. By subscribing, you agree to pay the applicable subscription fees.
Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. Payment is processed by our payment processor, Stripe Inc. By providing payment information, you authorize recurring charges in accordance with your subscription plan.
We may change subscription fees at any time with at least 30 days' advance written notice sent to your registered email address. Price changes take effect at the start of your next billing cycle following the notice period. Continued use of AdFlow after a price change constitutes acceptance of the new fees. If you do not accept a price change, you must cancel your subscription before the new price takes effect.
Subscription fees are exclusive of applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities on your subscription fees, excluding taxes on Agent Growth Hub Inc.'s net income. Where required, we will add applicable taxes to your invoice.
If payment fails, we will notify you by email and attempt to reprocess payment. If payment is not received within 7 days of the due date, we may suspend your access to AdFlow until payment is made. Accounts suspended for non-payment for more than 30 days may be terminated and data may be deleted in accordance with our data retention policy.
All subscription fees are non-refundable except as required by applicable law or as follows:
To request a refund under these limited circumstances, email support@agentgrowthhub.ai within 14 days of the relevant event.
You may cancel your subscription at any time through your account settings or by emailing support@agentgrowthhub.ai. Cancellation takes effect at the end of your current billing period. You will retain access to AdFlow until the end of the paid period. No refunds are issued for unused portions of a subscription period.
We may offer free trial access to AdFlow at our discretion. Free trials are subject to these Terms. At the end of a free trial, you will be required to subscribe to a paid plan to continue using AdFlow. We reserve the right to modify or discontinue free trial offers at any time. If you are provided with promotional or complimentary access, we may terminate such access at any time without notice or liability.
AdFlow connects to your Meta Business Manager, ad account(s), and Facebook Page(s) via the Meta Marketing API. You are solely responsible for:
AdFlow's features depend on access to Meta's Marketing API. Meta may, at any time and without notice to us, change, restrict, or revoke API access, modify API functionality, update its policies, or take enforcement action against your Meta account. We have no control over Meta's platform decisions. We are not liable for any disruption, limitation, or termination of AdFlow's functionality caused by Meta's actions.
AdFlow operates under Meta's App Review program. Certain features may be restricted pending or following Meta's review of AdFlow's permissions. Changes to Meta's review status may affect available features. We will communicate material changes to AdFlow's Meta permissions to subscribers with reasonable notice where possible.
By connecting your Meta account to AdFlow, you authorize us to store your Meta System User Access Token and associated credentials in our database for the purpose of operating AdFlow on your behalf. You may revoke this authorization at any time by disconnecting your Meta account from AdFlow or terminating your account, after which your credentials will be deleted within 30 days.
You retain all ownership and intellectual property rights in Your Data, including Lead Data retrieved from your Meta campaigns. Agent Growth Hub Inc. claims no ownership over Your Data.
By using AdFlow, you grant Agent Growth Hub Inc. a limited, non-exclusive, worldwide license to access, store, process, and display Your Data solely for the purpose of providing AdFlow's services to you. This license terminates when you delete your account or specific data.
You are the data controller for Lead Data retrieved through AdFlow. You are responsible for:
Ad copy, images, and videos generated through AdFlow's AI tools are provided to you for your use in your advertising campaigns. You are responsible for reviewing all Generated Content before publishing to ensure it complies with Meta's Advertising Policies, applicable laws, real estate advertising regulations (including fair housing laws), and professional standards applicable to your practice.
We do not warrant that Generated Content will be approved by Meta or comply with any particular advertising policy. You accept full responsibility for all content published through your Meta account.
You may export your Lead Data at any time using AdFlow's CSV export feature. Upon account termination, you have 30 days to export your data before it is deleted.
You agree to use AdFlow only for lawful purposes and in accordance with these Terms. You must not use AdFlow to:
We reserve the right to investigate suspected violations of this Acceptable Use Policy and may suspend or terminate accounts found in violation, without refund, as described in Sections 14 and 15.
AdFlow, including its software, code, design, interfaces, documentation, trademarks, and all related intellectual property, is owned exclusively by Agent Growth Hub Inc. and is protected by Canadian and international intellectual property laws. These Terms do not transfer any ownership interest in AdFlow to you.
Subject to your compliance with these Terms and payment of applicable fees, Agent Growth Hub Inc. grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use AdFlow solely for your internal business purposes during the term of your subscription.
If you provide feedback, suggestions, or ideas about AdFlow ("Feedback"), you grant Agent Growth Hub Inc. an unrestricted, perpetual, irrevocable, royalty-free license to use that Feedback for any purpose, including improving AdFlow, without any obligation to compensate you or keep it confidential.
You may not use the "AdFlow" or "Agent Growth Hub" name, logo, or trademarks without our prior written consent. Nothing in these Terms grants you any right to use our trademarks.
Each party may have access to confidential information of the other party in connection with AdFlow. "Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.
Each party agrees to:
Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no breach of these Terms; (b) was rightfully known before disclosure; (c) is independently developed without use of Confidential Information; or (d) must be disclosed by law, provided the disclosing party gives prompt written notice to the other party.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADFLOW IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. AGENT GROWTH HUB INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM AGENT GROWTH HUB INC. OR THROUGH ADFLOW CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
ADVERTISING PERFORMANCE DISCLAIMER: AGENT GROWTH HUB INC. MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE PERFORMANCE, RESULTS, OR RETURN ON INVESTMENT OF ANY ADVERTISING CAMPAIGNS CREATED OR MANAGED THROUGH ADFLOW. ADVERTISING RESULTS ARE SUBJECT TO NUMEROUS FACTORS OUTSIDE OUR CONTROL INCLUDING MARKET CONDITIONS, AUDIENCE BEHAVIOUR, META'S ALGORITHM, AND CAMPAIGN STRATEGY. AI-GENERATED OPTIMIZATION RECOMMENDATIONS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL ADVERTISING ADVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
12.1 EXCLUSION OF CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL AGENT GROWTH HUB INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION:
WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF AGENT GROWTH HUB INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.2 AGGREGATE LIABILITY CAP. AGENT GROWTH HUB INC.'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF ADFLOW, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO AGENT GROWTH HUB INC. IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
12.3 ESSENTIAL BASIS. THE PARTIES ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. AGENT GROWTH HUB INC. WOULD NOT PROVIDE ADFLOW WITHOUT THESE LIMITATIONS.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by applicable law.
You agree to defend, indemnify, and hold harmless Agent Growth Hub Inc. and its directors, officers, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.
These Terms begin when you create an AdFlow account or first use AdFlow and continue until your subscription is terminated by either party.
You may terminate your subscription at any time as described in Section 4.7. Termination does not entitle you to a refund of prepaid fees except as described in Section 4.6.
We may terminate your subscription and access to AdFlow immediately upon written notice if:
We may also terminate AdFlow entirely as a service with 60 days' advance notice, in which case we will provide a pro-rated refund of prepaid subscription fees.
Upon termination:
We may suspend your access to AdFlow (without terminating these Terms) in the following circumstances:
We will reinstate access promptly once the basis for suspension is resolved. Suspension does not relieve you of payment obligations.
We will use commercially reasonable efforts to maintain AdFlow's availability. However, we do not guarantee uninterrupted access. AdFlow may be unavailable due to scheduled maintenance, emergency maintenance, infrastructure outages, Meta API disruptions, or events outside our control.
We reserve the right to modify, update, or discontinue any feature of AdFlow at any time. For material changes that remove core functionality, we will provide at least 30 days' advance notice. We may add new features or make improvements without advance notice.
We may modify these Terms at any time. Material changes will be communicated by email to your registered address at least 30 days before taking effect. Your continued use of AdFlow after the effective date of modified Terms constitutes acceptance. If you do not accept modified Terms, you must cancel your subscription before the effective date.
We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, civil unrest, government action, internet infrastructure failures, Meta platform changes, or third-party service outages.
AdFlow integrates with and depends upon third-party services including Meta's Marketing API, Anthropic's Claude API, Kie.ai, Stripe, Railway, and Cloudflare R2. These services are governed by their own terms of service and privacy policies, which you should review independently.
Agent Growth Hub Inc. is not responsible for the availability, accuracy, or reliability of third-party services. Changes to third-party services, APIs, or policies may affect AdFlow's functionality, and we will not be liable for any such impact.
By using AdFlow, you also agree to comply with Meta's Terms of Service, Meta's Advertising Policies, and all other applicable Meta policies. A breach of Meta's policies that affects AdFlow may result in termination of your AdFlow account.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts of law principles.
Before initiating any formal dispute proceeding, you agree to first contact us at legal@agentgrowthhub.ai and attempt to resolve the dispute informally. We will use reasonable efforts to resolve disputes within 30 days of receiving written notice.
If informal resolution is unsuccessful, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of AdFlow shall be brought exclusively in the courts of the Province of Ontario, Canada. You irrevocably consent to the personal jurisdiction and venue of such courts.
To the extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Agent Growth Hub Inc. relating to AdFlow or these Terms.
Any claim or cause of action arising out of or related to these Terms or AdFlow must be filed within one (1) year after the claim or cause of action arose, after which it is permanently barred, regardless of any statute of limitations to the contrary.
These Terms, together with our Privacy Policy and any subscription order or plan documentation, constitute the entire agreement between you and Agent Growth Hub Inc. regarding AdFlow and supersede all prior and contemporaneous agreements, representations, and understandings.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver is only effective if made in writing and signed by an authorized representative of Agent Growth Hub Inc.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets. Any unauthorized assignment is void.
Notices to you will be sent to the email address associated with your AdFlow account. Notices from you to Agent Growth Hub Inc. must be sent to legal@agentgrowthhub.ai. Notices are deemed received 24 hours after sending by email.
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and Agent Growth Hub Inc.
These Terms do not create any third-party beneficiary rights. No person other than the parties to these Terms has any right to enforce any term of these Terms.
You agree to comply with all applicable export control laws and regulations in your use of AdFlow. You represent that you are not located in a country subject to Canadian or US export sanctions.
